Enerparc AG has been in preliminary insolvency proceedings since early September, a move that affects its sister companies, Pvwerk and Sonnen Tiefbau, which implement renewable energy projects, but not its subsidiaries, Sunnic Lighthouse and Enerparc Service, which sell or market electricity.
The affected company and the provisional insolvency administrator Stefan Denkhaus, partner in the law firm BRL, now report that more than ten non-binding offers have been submitted for Enerparc AG so far.
Enerparc and Denkhaus have announced that a select group of bidders have been chosen, or will be chosen, for the second phase of the investor process. This selection will reflect what Enerparc, with its limited personnel and organizational resources, can achieve to conduct the due diligence process as effectively as possible. Bidders will then examine the company and its assets to submit binding offers.
“We continue to expect to finalize the sale of the solar park portfolios, the project pipeline, and shares, for example in the non-insolvent subsidiaries Sunnic Lighthouse and Enerparc Service, in December 2026,” says Denkhaus. “This would also include the workforce.”
Denkhaus told pv magazine in early October that they would prefer interested parties who are interested in the entire company. Enerparc is one of the largest independent power producers (IPPs) in the country. As a vertically integrated company, Enerparc covers everything from developing and constructing photovoltaic plants and co-located and standalone storage to marketing the electricity.
“Progress in negotiations with suppliers and lenders”
Furthermore, Enerparc and Denkhaus report further progress in negotiations with suppliers and lenders, which run parallel to the investor process, so construction work for the solar parks, interrupted since the insolvency application, can resume.
To give all parties involved the greatest possible legal certainty, especially as work resumes on the plants under construction, the Hamburg District Court ordered the so-called “strong” provisional insolvency administration on October 26, 2026, at the suggestion of the provisional insolvency administrator.
This measure, supported by the board of directors, would give legal transactions carried out during the insolvency application proceedings the same legal force as those carried out after the opening of the insolvency proceedings, which is expected on December 1, 2026. “The constructive cooperation between the board of directors and the provisional insolvency administrator and his team will continue unchanged,” Enerparc and Denkhaus announced.
